Sunday News Program Scheduled by Fox

The Fox television network will begin offering a weekly Sunday morning news and public-affairs program on April 28, Roger Ailes, chairman and chief executive officer of Fox News, announced yesterday. Tony Snow, formerly a nationally syndicated columnist for USA Today and The Detroit News, and a political analyst for Fox News, will be the host of the new program, to be called Fox News Sunday. The executive producer will be Marty Ryan, a former executive producer of the "Today" show on NBC.

A few months after this meeting, a henchman of the politician leaked documents to the journalist showing that the politician's leading opponent, while Secretary of the Treasury, had made regular nocturnal visits to a sleazy part of town.

COMPANY NEWS;WOOLWORTH'S BOARD OPPOSES SPINOFF PROPOSAL

The Woolworth Corporation said yesterday that the board would recommend that shareholders vote against a proposal made by Greenway Partners L.P., an asset management company, that the retailer, which is based in New York, spin off its athletic footwear and apparel division. Greenway Partners proposed the move on Feb. 1, saying that division -- which is mainly the Foot Locker chain -- would be more attractive as a separate company. Greenway holds 8 million shares, or 6 percent, of Woolworth's stock. Woolworth's board said the spinoff would not increase shareholder value. It said that would require the "operational turnaround" of several of its units.

COMPANY NEWS;EXCEL INDUSTRIES COMPLETES ACQUISITION OF ANDERSON

Excel Industries said yesterday that it had completed its acquisition of Anderson Industries and disclosed that the deal was valued at $61 million. Terms of the transaction were not announced last month, when the agreement was disclosed. Excel also said it had assumed about $85 million of Anderson Industries' debt. Anderson Industries, which is based in Rockford, Ill., is a holding company whose main asset is Atwood Industries, a maker of gas ranges, water heaters, furnaces, air-conditioners and other equipment for recreational vehicles and manufactured housing. Excel Industries, which is based in Elkhart, Ind., designs, makes and supplies vehicle window and door systems.

The Amdahl Corporation, based in Sunnyvale, Calif., said yesterday that it would expand its computer services group by buying Trecom Business Systems Inc. for $145 million. Amdahl, best known for mainframe computers, said it would pay about half the cost now and the other half in the second quarter of 1997. Amdahl, which had sales of $1.5 billion in 1995, is trying to increase its offerings of services, software and maintenance to help companies manage mainframe systems. Trecom is a closely held company with 1,700 employees. Its revenue has grown an average of 40 percent in each of the last three years.

The Panamsat Corporation said yesterday that it had hired Morgan Stanley & Company to explore its strategic alternatives, including joint ventures, alliances, mergers or the sale of the company. Panamsat also filed a registration statement with the Securities and Exchange Commission for a secondary offering of $350 million of common stock. Grupo Televisa S.A., which owns 40.5 million of Panamsat's 100 million shares, said it had not made a decision about Panamsat, based in Greenwich, Conn., or its other assets and could nott promise transactions would result from its review.

COMPANY NEWS;CHIP MAKER ANNOUNCES CHARGE AND LAYOFFS

The National Semiconductor Corporation said yesterday that it would cut its worldwide work force by about 400 people and take a related charge of at least $20 million in the current fourth quarter. The chip maker said a slowdown in new orders for computer chips prompted the layoffs, which would involve mainly factory and administrative jobs. National Semiconductor, which employs 21,000 people worldwide, said last month that a slide in its third-quarter earnings was caused by a drop in worldwide orders and bookings, all stemming from the slowdown in PC sales. In the three months ended Feb. 25, the company earned $23 million, or 17 cents a share. National Semiconductor's stock lost 37.5 cents, to $14, on the New York Stock Exchange.
